The Admin Commons — Terms of Service (All Users)

1. Introduction
Welcome to The Admin Commons (hereinafter "TAC"). We are a secure, value-driven online marketplace and technology platform connecting trusted administrative professionals (hereinafter the "Assistants" or "Admins") to organizations and individuals (hereinafter the "Clients") seeking virtual administrative support.
The Admin Commons is an assumed business name of Ministry Desk LLC, a limited liability company formed under the laws of the Commonwealth of Kentucky.
These Terms of Service (hereinafter "Terms") govern access to and use of The Admin Commons' Platform. By accessing or using TAC's website, marketplace, or related services (collectively, the "Platform"), you hereby unilaterally and unconditionally agree to and are bound by these Terms as well as our Privacy Policy. If you do not or cannot agree, please do not access or use the Platform.
In order to access The Admin Commons (TAC), a User (as defined below) must first register and create an account on the Platform. Once an account is created, a User may browse and actively participate on the Platform. Active participation on the Platform — including posting a client opportunity or creating an assistant listing — requires, in addition to account registration, the approval by TAC prior to going live. TAC reviews all Client postings and Assistant listings before they are published on the Platform. TAC reserves the right to approve, deny, suspend, terminate, or remove any account or listing at our sole and absolute discretion to protect the integrity and values of the Platform and its Users (defined below).
TAC may suspend, deny approval or access, terminate or remove any User due to the following behavior with no notice. These behaviors include, but are not limited to: any illegal, immoral, unethical, fraudulent, misleading, harmful and any other action or behavior TAC determines is inconsistent with TAC's values, these Terms, or general Platform Standards.
2. Definitions for purposes of these Terms:
"User(s)" mean all individuals or entities who access or use the Platform, including, but not limited to Clients, Assistants and Admins.
"Client" means a User seeking administrative or support services.
"Assistant" or "Admin" mean a User offering administrative or support services to Clients through the Platform.
"Services" include administrative, operational, organizational, technical, or other support services that may be offered by Assistants and Admins and requested by Clients through the Platform. Such Services may include, but are not limited to, calendar and email management, data entry, document preparation, CRM management, bookkeeping support, marketing assistance, client communications, research, scheduling, and other virtual administrative or business support tasks.
All Services are provided solely by Assistants and Admins and not by The Admin Commons. TAC does not perform, supervise, direct, control, or guarantee the Services offered through the Platform.
TAC does not guarantee:
- That any Client will secure Services
- That any Assistant or Admin will receive work.
- The quality, outcome or results of any Services.
All Users engage with one another at their own risk.
3. Platform Purpose
TAC provides digital tools that allow Clients and Assistants or Admins to discover one another, enter into a business relationship, communicate, and transact directly with one another.
TAC provides the infrastructure — including listings, messaging, and payment processing — to help both parties collaborate safely and efficiently.
TAC is not a contracting party to any agreement or working relationship between Clients and Assistants or Admins. All service arrangements, deliverables, and obligations are established and managed directly between the users and outside of the responsibility and obligation of TAC.
Clients, Assistants and Admins are referred to herein individually and collectively as the "Users."
4. User Eligibility and Conduct
To join The Admin Commons Platform, you must:
- Be at least 18 years old.
- Provide accurate, complete information during onboarding.
- Uphold the standards of professionalism, integrity, and respect consistent with TAC's mission and values.
TAC reserves the right to remove Clients and Users who act dishonestly, disrespectfully, or in any way that compromises the Platform or its purpose, integrity or any other User.
5. Relationship Between Users
The Admin Commons does not employ, supervise, or manage Assistants or Admins, nor does it represent Clients**.**
Any engagement for services — including scope, rates, deadlines, confidentiality, and deliverables — is solely between the Client and the Assistant or Admin.
TAC does not:
- Hire, fire, or compensate Assistants or Admins **directly. **
- Supervise, direct or control Assistants or Admins.
- **Guarantee the quality, suitability, ability, legality, timeliness, or completion of services. **
- Participate in or enforce individual contracts between Clients and Assistants or Admins.
- Provide professional, employment or staffing service
Each User is responsible for managing its, their, his or her own agreements, communications, and legal obligations.
Should a Client and an Assistant or Admin enter into a direct engagement, employment relationship, or contractual arrangement outside the Platform — at any time within twelve (12) months after their first engagement and interaction on the Platform — Client and Assistant or Admin shall notify TAC in writing within five (5) business days of entering such arrangement. This new, independent and direct relationship shall be deemed a "Conversion."
Upon entering any off-platform arrangement or Conversion, a Conversion Fee of $750.00 shall become immediately due and payable to TAC.
Failure to notify TAC of an off-platform arrangement and Conversion shall constitute a material breach of these Terms and may result in the cost of any legal or enforcement action due to the breach, in addition to any fees owed. TAC reserves the right to pursue all available legal and equitable remedies in the event of non-disclosure.
In addition, in the event a Client and an Assistant or Admin enter into a Conversion, Client and the Assistant or Admin shall notify TAC of said arrangement and any and all payments and fees due TAC – in addition to the Conversion Fee - shall become immediately due and payable.
TAC shall have no responsibility, liability or entitlement to compensation related to such arrangements unless expressly agreed to in writing.
6. Creates No Employment, Agency or Contractual Relationship
Use of the Platform does not create any employment, independent contractor, agency, partnership, joint venture or fiduciary relationship between TAC and any User.
TAC is not responsible for:
- Taxes, withholdings, or reporting of same
- Licenses or permits
- Insurance of any kind
- Workers' compensation coverage
- Wage laws or labor compliance
- All such obligations remain solely between Clients and Assistants.
7. Payment and Fees
Payments are facilitated through Stripe Connect, TAC's secure third-party payment provider. Clients agree to:
- Submit payments for services through the Platform only.
- Not circumvent the Platform to avoid fees.
Assistants and Admins agree to:
- Connect a valid Stripe account for payouts.
- Receive payments only through the Platform.
TAC shall collect a platform fee of 10% from each transaction, consisting of 5% from the Client and 5% from the Assistant or Admin, automatically collected at the time of payment.
TAC does not determine service rates or compensation terms beyond facilitating payment processing.
In the event TAC changes its fee schedule or adds additional fees in the future (including, but not limited to membership or subscription fees) Users will be given no less than sixty (60) days notice of the changes or additions before they go into effect.
Stripe handles all tax reporting (Form 1099-K) directly with users who meet applicable thresholds.
TAC is not responsible for refund disputes or chargebacks; these are managed between the Client, Assistant, or Admin and Stripe per Stripe's own terms. All disputes regarding compensation, scope of work or performance are solely between the Client and the Assistant or Admin.
For purposes of payment release, Services are considered complete when the Assistant or Admin marks the work complete through the Platform.
Clients must raise any concerns regarding Services within fourteen (14) calendar days of completion. If no concern is raised within those fourteen (14) days, payment will be released automatically through the Platform. The Platform will send the Client a reminder before that period expires.
Disagreement regarding whether services were completed to a Client's satisfaction does not, by itself, prevent payment. Unless a violation of these Terms or Platform policies is identified, funds will be released according to the Platform's standard transaction process.
TAC does not adjudicate disputes regarding Service quality, adequacy or outcomes.
TAC may temporarily pause payment only to address alleged violations of these Terms or Platform policies, including allegations of fraud, harassment, misrepresentation or payment circumvention**.**
The Platform may cancel a transaction and issue a full refund to the Client automatically in certain circumstances, including where a transaction remains open beyond seventy-five (75) days from the date a quote is accepted, or where a Client has requested changes and the Assistant or Admin has not completed them within the period allowed by the Platform. Such cancellations are initiated by the Platform and are separate from any refund dispute or chargeback handled through Stripe.
8. Community Standards – Virtual Platform Only
Users agree to:
- Communicate respectfully and professionally.
- Use the Platform only for legitimate professional purposes.
- Avoid harassment, discrimination, or unethical behavior.
- Maintain confidentiality of sensitive or proprietary information shared through the Platform.
TAC may suspend or terminate any User that violates these standards or behaves inconsistently with the values of integrity, excellence, and respect.
The Platform facilitates virtual relationships only.
Should Users choose to meet, communicate, or work together in person or outside the Platform, TAC shall have no responsibility or liability (included costs and expenses) for any injuries, losses, damages, or disputes of any nature whatsoever arising therefrom.
9. Intellectual Property
All Platform content and materials, including logos, brand elements, and site design, are owned by Ministry Desk LLC.
Users retain ownership of their profiles, bios, and uploaded materials but grant TAC a limited license to display them on the Platform.
You may not copy, distribute, or reproduce TAC's materials without written permission.
10. Platform Role and Limitations
The Admin Commons is a facilitator, not an agent, broker, or employer. We provide the Platform "as is," without guarantees of uninterrupted availability or specific outcomes.
TAC reviews Client postings and Assistant listings for content before they are published on the Platform. TAC does not verify or endorse any User's credentials, qualifications, employment history, or service performance. Users are encouraged to conduct their own due diligence before entering agreements.
11. Limitation of Liability
To the fullest extent permitted by law, TAC and Ministry Desk LLC are not liable for any indirect, incidental, special, punitive or consequential damages, including loss of income, data, or business opportunities to its Users.
TAC'S total liability for any claim shall not exceed the amount of Platform fees paid to TAC in the previous six (6) months.
TAC employs reasonable industry safeguards. Users hereby acknowledge and agree that no system is fully secure. TAC shall not be liable for data breaches, unauthorized access or loss of information except as required by applicable law.
12. Indemnification
Users agree to defend, indemnify and hold harmless TAC, Ministry Desk LLC and their officers, director, members, employees and agents from any claims, damages, losses, liabilities, costs, expenses, attorney fees or court costs arising from:
- A **User'**s use of the Platform;
- A User's interaction with other Users;
- A User's breach of these Terms.
- Any Services provided or received by a User.
- Any violations of law.
- Any illegal, immoral or unethical conduct.
- Data misuse or security failures either intentionally or unintentionally caused by a User.
- Any other violation of any of these Terms or our Privacy Policy.
13. Term: Continuing Agreement
The use of the Platform by any User and the User's agreeing to and being bound by these Terms shall begin on the date a User is first granted access to the Platform or the date a User first creates an account and shall continue until the User's account is terminated by the User or by TAC.
14. Termination
TAC reserves the right to suspend or terminate accounts or Users at any time for any reason, including violations of these Terms or behavior inconsistent with our values.
Upon termination, Users must stop using the Platform. Fees already paid are non-refundable unless required by law.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Kentucky.
Any dispute arising from these Terms or use of the Platform shall be resolved by confidential arbitration in Kentucky, unless both parties agree otherwise in writing.
16. Notices
Notices to Users will be sent electronically to the e-mail address on file and are deemed effective upon transmission. Users are responsible for keeping contact information current and shall notify TAC of any changes or updates.
17. Changes to These Terms
TAC may update these Terms periodically.
Continued use of the Platform after changes are posted indicates acceptance of any revision to these Terms.
